By requesting or accepting our services, providing instruments to us, accepting a quotation, placing an order, or purchasing products from us, you agree to be bound by these Terms & Conditions.
These Terms & Conditions should be read together with any quotation, purchase order, service confirmation or other written agreement issued by Surgical Edge.
Where there is any inconsistency, the specific written agreement or quotation will prevail to the extent of that inconsistency.
2. SERVICES
Surgical Edge provides precision instrument sharpening, servicing, assessment, condition reporting and supply services for professional instrumentation.
Services may include:
• Precision sharpening of surgical instruments
• Sharpening of dental instruments
• Sharpening of podiatry instruments
• Instrument inspection and assessment

The exact service provided will depend upon the condition, type, construction and suitability of each instrument.
Surgical Edge reserves the right to decline to service an instrument where, in our reasonable opinion, the instrument is unsafe, unsuitable, excessively damaged, beyond economical repair, unsuitable for the requested service, or otherwise presents an unacceptable risk.
3. CUSTOMER RESPONSIBILITY
The Customer is responsible for ensuring that instruments supplied to Surgical Edge are appropriately identified and packaged for transport.
The Customer must provide accurate information regarding:
• Instrument type and intended use
• Any known damage or defects
• Any previous repairs or modifications
• Any specific sharpening or servicing requirements
• Any special handling requirements
• Any other information reasonably required to safely and appropriately perform the requested service
The Customer must notify Surgical Edge of any instrument containing unusual materials, coatings, mechanisms or components that may affect servicing.
The Customer remains responsible for determining whether an instrument is suitable for clinical use following servicing and, where applicable, for ensuring that instruments are appropriately cleaned, sterilised and otherwise processed in accordance with the Customer’s clinical, infection-control and regulatory requirements before use.
3A. CUSTOMER RESPONSIBILITY AND STERILISATION REQUIREMENTS
The Customer is responsible for ensuring that all instruments supplied to Surgical Edge are appropriately identified, packaged and transported for service.
Sterile condition on arrival
All instruments supplied to Surgical Edge must be supplied in a sterile condition.
Each instrument or instrument set must be accompanied by clear identification or documentation stating and asserting the date and time on which sterilisation was completed.
The Customer is responsible for ensuring that the stated sterilisation information is accurate and that the instruments have been processed in accordance with the Customer’s applicable infection-control procedures prior to being supplied to Surgical Edge.
Surgical Edge does not accept responsibility for sterilisation of instruments prior to receipt.
Instrument identification
Instruments supplied for service must be appropriately identified by the Customer, including, where applicable:
• Instrument or set identification;
• Customer/facility identification;
• Any relevant instrument numbering or tracking information; and
• The date and time of the most recent sterilisation.
Where instruments are supplied as part of a set or tray, the Customer should ensure that the contents are appropriately identified and documented.
Cleaning and return condition
Following completion of the requested sharpening or servicing, Surgical Edge will return instruments following ultrasonic cleaning in an enzymatic solution.
Instruments returned by Surgical Edge are not sterile.
Ultrasonic cleaning and enzymatic cleaning performed by Surgical Edge must not be interpreted as sterilisation and does not render an instrument suitable for immediate clinical use.
Upon receipt, all instruments must be sterilised on site by the hospital, day procedure unit, dental facility, podiatry facility or other healthcare facility before being returned to clinical service or used on a patient.
The Customer is responsible for ensuring that instruments are inspected, packaged and sterilised in accordance with the facility’s applicable infection-control procedures and the instrument manufacturer’s instructions before clinical use.
Surgical Edge does not provide or represent that instruments returned following service are sterile unless a separate written agreement expressly provides otherwise.
The Customer remains responsible for determining when instruments are safe and suitable for clinical use following their return.
4. CONDITION OF INSTRUMENTS
Instruments submitted for service may be inspected before work commences.
Where appropriate, Surgical Edge may record the condition of an instrument before and after servicing.
An instrument may be returned without being serviced if inspection identifies a condition that makes servicing inappropriate or potentially unsafe.
Examples may include:
• Excessive wear
• Cracks or fractures
• Significant corrosion
• Loose or damaged components
• Excessive deformation
• Structural damage
• Previous inappropriate repairs
• Missing components
• Damage that may compromise the instrument’s intended function
• An instrument that is unsuitable for the requested service
Where an instrument cannot reasonably be serviced, Surgical Edge may notify the Customer and recommend replacement or an alternative course of action.
5. SHARPENING AND SERVICING
Sharpening and servicing are performed to restore or improve the functional edge or condition of an instrument to the extent reasonably achievable given its construction and existing condition.
Surgical Edge does not guarantee that every instrument can be restored to its original factory condition.
The achievable result may be affected by:
• Instrument age
• Existing wear
• Previous sharpening
• Material condition
• Manufacturer specifications
• Damage or corrosion
• Instrument geometry
• Construction and hardness of the instrument
• Previous repairs or modifications
Where the Customer has requested a specific outcome that cannot reasonably be achieved, Surgical Edge may decline the work or contact the Customer before proceeding.
6. QUOTATIONS AND ESTIMATES
Unless otherwise stated, quotations are based on the information available to Surgical Edge at the time the quotation is prepared.
A quotation may be subject to inspection of the instruments.
If the condition or quantity of instruments differs materially from that represented when the quotation was prepared, Surgical Edge may provide a revised quotation before undertaking additional work.
Unless expressly stated otherwise, quotations do not include additional services, replacement parts, freight, collection or delivery charges that were not specified in the quotation.
Quotations are valid for the period stated on the quotation. If no validity period is stated, Surgical Edge may withdraw or revise the quotation at any time before acceptance.
7. PRICING

Unless otherwise stated, prices are exclusive of GST where applicable.
Surgical Edge reserves the right to change its pricing at any time. The price applicable to an accepted quotation or confirmed order will generally remain as quoted unless:

• Additional work is requested;
• The condition or quantity of instruments materially differs from that originally represented;
• Additional parts or services are required; or
• The Customer agrees to the additional charges.
8. PAYMENT
Payment is due in accordance with the payment terms stated on the invoice.
Unless otherwise agreed in writing, Surgical Edge may require payment before returning completed instruments or supplying products.
Surgical Edge reserves the right to suspend further work or services where an account is overdue.
The Customer is responsible for reasonable costs incurred in recovering overdue amounts, to the extent permitted by law.
9. CUSTOMER-OWNED INSTRUMENTS
Surgical Edge takes reasonable care when handling Customer instruments.
The Customer acknowledges that surgical and professional instruments are precision items and may have pre-existing wear, damage, corrosion, fatigue or other defects that may not be immediately apparent.
Surgical Edge will not be responsible for deterioration or failure attributable to pre-existing defects, normal wear and tear, inherent material defects, previous repairs or modifications, or conditions that were not reasonably identifiable before servicing.
If an instrument is damaged during our possession due to negligent handling by Surgical Edge, the matter will be assessed on a case-by-case basis and handled in accordance with applicable Australian law.
10. LOST OR UNCLAIMED INSTRUMENTS
Surgical Edge will take reasonable steps to identify and return Customer instruments.
The Customer must promptly notify Surgical Edge if instruments are missing or incorrectly identified.
Where completed instruments remain uncollected for an extended period, Surgical Edge may contact the Customer to arrange collection, delivery or return.
Any storage, freight or additional handling charges may be payable by the Customer where reasonable and permitted by law.
11. COLLECTION AND DELIVERY
Surgical Edge may offer collection and delivery services depending on location and availability.
Delivery timeframes are estimates only unless a specific delivery date has been expressly agreed in writing.
Surgical Edge is not responsible for delays caused by third-party couriers, transport providers, weather, industrial action, road conditions, public holidays or other circumstances outside our reasonable control.
The Customer is responsible for providing accurate delivery and collection information.
Risk associated with instruments during third-party transportation may pass in accordance with the applicable freight arrangement and applicable law.
12. URGENT AND PRIORITY SERVICES
Surgical Edge may offer urgent or priority sharpening services for time-sensitive requirements.
Urgent or priority services are subject to capacity, instrument type, quantity, condition and operational availability.
Urgent service does not guarantee completion by a particular time unless expressly agreed in writing.
Additional charges may apply to urgent or priority services.
13. SUPPLIED PRODUCTS AND REPLACEMENT INSTRUMENTS
Where Surgical Edge supplies replacement instruments or other products, the applicable manufacturer’s warranty will apply where provided.
Products supplied by Surgical Edge are intended for their stated professional purpose.
The Customer is responsible for ensuring that supplied instruments are appropriate for the Customer’s particular clinical application, facility requirements and procedures.
Surgical Edge may recommend replacement instruments where an existing instrument is unsuitable for further servicing.
14. PRODUCT AVAILABILITY
Product availability may depend upon manufacturer or distributor stock, importation, freight and other factors outside Surgical Edge’s control.
Estimated delivery dates are not guaranteed unless expressly agreed in writing.
Where a product becomes unavailable or discontinued, Surgical Edge may offer an alternative product or refund any amount paid for the unavailable product, subject to applicable law.
15. WARRANTY AND SERVICE QUALITY
Surgical Edge aims to provide professional, high-quality sharpening and servicing.
Where a Customer believes that a service has not been performed appropriately, the Customer should notify Surgical Edge as soon as reasonably practicable and provide details of the issue.
Surgical Edge may inspect the instrument and, where appropriate, re-perform the service or provide another reasonable remedy.
Any warranty provided by Surgical Edge is subject to the instrument being used, cleaned, sterilised, stored and maintained appropriately and in accordance with applicable manufacturer instructions and professional requirements.
Nothing in these Terms & Conditions excludes or limits any consumer guarantee, warranty or other right that cannot lawfully be excluded under Australian law.
16. LIMITATION OF LIABILITY
To the maximum extent permitted by law, Surgical Edge is not liable for indirect, consequential or special loss arising from the supply of services or products, including loss of revenue, loss of business, loss of opportunity or operational interruption.
Nothing in these Terms & Conditions excludes, restricts or modifies any liability or statutory guarantee that cannot lawfully be excluded, restricted or modified.
Where liability can lawfully be limited, Surgical Edge’s liability will be limited to the extent permitted by law and, where applicable, to the cost of re-performing the relevant service or supplying an equivalent service or product.
17. CLINICAL RESPONSIBILITY
Surgical Edge is an instrument servicing and supply business and does not provide medical advice or clinical advice.

Surgical Edge will operate its services in accordance with the requirements applicable to the services it provides.
